Terms of Service

Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the signifystudio.com website (the “Service”) operated by SignifyStudio (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.

2. Purchase and Use of Products

2.1 License Verification

Access to product downloads and support requires valid Envato/ThemeREX purchase codes. You must register your purchase code(s) on our website to receive support and services.

2.2 License Terms

Your use of our products is governed by the license terms provided at the time of purchase from Envato or ThemeREX marketplaces. You agree to comply with all applicable license restrictions and usage terms.

2.3 Support Services

Product support is provided for the duration specified in your purchase. Support includes:

  • Technical assistance with product installation and configuration
  • Bug fixes and compatibility updates
  • Guidance on product features and functionality

Support does NOT include:

  • Customization services beyond the scope of the product
  • Third-party plugin or theme conflicts
  • Server configuration or hosting issues
  • General web development or design services

2.4 Refunds

Refund policies are governed by the marketplace (Envato/ThemeREX) where you made your purchase. We do not process refunds directly. Please contact the marketplace for refund requests in accordance with their policies.

3. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of SignifyStudio and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SignifyStudio.

You may not:

  • Copy, modify, distribute, sell, or lease any part of our Services or included software
  • Reverse engineer or attempt to extract the source code of our software, unless laws prohibit these restrictions or you have our written permission
  • Use our products to create competing products or services
  • Remove or alter any copyright, trademark, or other proprietary notices from our products

4. User Content

4.1 Ownership

You retain any and all rights to content you submit, post, or display on or through the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

4.2 Prohibited Content

You agree not to post User Content that:

  • Violates any law or regulation
  • Infringes on the intellectual property rights of others
  • Contains viruses, malware, or other harmful code
  • Is defamatory, obscene, pornographic, abusive, or harassing
  • Promotes violence, discrimination, or illegal activities
  • Contains false or misleading information
  • Violates the privacy of others

4.3 Content Moderation

We reserve the right, but are not obligated, to monitor, edit, or remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

5. Prohibited Uses

You may not use the Service:

  • In any way that violates any applicable national or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate SignifyStudio, a SignifyStudio employee, another user, or any other person or entity
  • To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service
  • To use any robot, spider, or other automatic device, process, or means to access the Service for any purpose
  • To introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
  • To attack the Service via a denial-of-service attack or a distributed denial-of-service attack

6. Third-Party Services

Our Service may contain links to third-party websites or services that are not owned or controlled by SignifyStudio.

SignifyStudio has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that SignifyStudio shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SIGNIFYSTUDIO, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT:

  • THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
  • ANY ERRORS OR DEFECTS WILL BE CORRECTED
  • THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS

8. Limitation of Liability

IN NO EVENT SHALL SIGNIFYSTUDIO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless SignifyStudio and its licensors, affiliates, and their respective directors, officers, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your User Content
  • Your violation of any rights of another party

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States and the state in which SignifyStudio operates, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Dispute Resolution

12.1 Informal Resolution

If you have any dispute with us, you agree to first contact us and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email.

12.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in English in the United States.

12.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and you waive any right to participate in a class-action lawsuit or class-wide arbitration.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

It is your responsibility to review these Terms periodically for changes. Your continued use of the Service following the posting of changes constitutes your acceptance of such changes.

14. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Service and informs users of our data collection practices.

15. Entire Agreement

These Terms constitute the entire agreement between you and SignifyStudio regarding the use of the Service, superseding any prior agreements between you and SignifyStudio relating to your use of the Service.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

17. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
